Terms and Conditions

These Terms and Conditions (the “Agreement”) form a legally binding contract between Nolan Digital Ltd. (“Nolan Digital”, “we”, “our”, “us”), a limited company registered in Hong Kong, and you (“Client”), whether acting on your own behalf or representing a business entity, regarding your access and use of Nolan Digital’s website, subscription services, and all digital design/development services (“Services”).

By accessing or using our Website or Services, you agree to comply with these Terms. If you do not agree, you must discontinue use immediately.

Intellectual Property Rights

All materials, designs, code, deliverables, documents, and other work produced by Nolan Digital remain the intellectual property of Nolan Digital unless explicitly transferred by written agreement.

Clients receive a license to use the final deliverables for their business needs upon full payment. Raw design files, source code repositories, internal tools, and proprietary frameworks are not included unless separately purchased or agreed in writing.

Third-party assets (fonts, libraries, APIs, plugins) remain governed by their respective licenses.

Client Obligations

The Client agrees to:

  • Ensure all content provided does not infringe third-party rights

  • Obtain all required rights, licenses, approvals, or legal compliance for the intended use of the deliverables

  • Follow the service workflow as communicated by Nolan Digital

Nolan Digital is not liable for delays caused by incomplete or late client inputs.

Scope of Service

Nolan Digital provides digital product services including but not limited to:

  • UI/UX Product Design

  • Web Application Development

  • AI Agent Design & Implementation

  • Design Systems & System Architecture

  • Product Testing & Validation

  • Maintenance or enhancement work (if subscribed)

Subscription plans include ongoing design and development support but exclude: strategy consulting, non-web software, hardware integrations, advanced backend architecture, on-prem deployment, legal compliance audits, and services outside typical design/development workflows.

One-time project scopes are defined in the project proposal or quotation.

Subscription Services

Subscriptions provide ongoing access to design and/or development capacity. Clients may submit requests based on the plan they purchased.

4.1 Delivery Pace

Delivery speed depends on request complexity. Nolan Digital does not guarantee daily output but works according to the defined plan structure.

4.2 No Unused Hours Roll-Over

Subscription time or request capacity does not roll over into the next billing cycle.

4.3 Cancellation

Clients may cancel anytime. Subscription access continues until the end of the billing cycle. No pro-rated refunds.

4.4 Management

Client is responsible for managing their subscription. Cancellation or changes must be made via Stripe or by contacting us at contact@nolandigital.co

One-Time Custom Projects

One-time projects follow the milestones and payment schedule defined in the project proposal. Any work outside scope requires a separate quotation or an approved change request.

Third-Party Fonts, Libraries & Tools

If a supplied design or development output requires a font, library, API, or tool that carries licensing fees, the Client is responsible for purchasing those licenses unless otherwise agreed. Nolan Digital will notify the Client when such licenses are required.

User Representations

By using the Website or Services, the Client warrants that:

  • They are legally capable of entering into this Agreement

  • They will not use the Website for illegal or unauthorized purposes

  • They will not breach any applicable law while using the Service

Prohibited Activities

The Client agrees not to:

  • Perform unauthorized access, scraping, or data mining of our Website

  • Circumvent security features or attempt to reverse engineer our systems

  • Misrepresent work as their own before full payment

  • Use deliverables in illegal or harmful ways

  • Publish defamatory statements about Nolan Digital or its staff

  • Use the Website in a manner that may damage, disable, or impair the platform

Management & Oversight

Nolan Digital may monitor compliance, restrict access, or terminate accounts that violate these Terms. We may also suspend Services due to unlawful, abusive, or harmful activities.

Privacy Policy

By using our Website or Services, you agree to Nolan Digital’s Privacy Policy.

Returns & Refunds

11.1 Subscriptions

All subscription fees are non-refundable.

11.2 One-Time Projects

No refunds after work begins; partial refunds only under exceptional cases.

Connection Interruptions

We do not guarantee uninterrupted availability. We are not liable for interruptions beyond our control.

Force Majeure

Neither party is liable for delays caused by unforeseeable events (e.g., natural disasters, power outages, regulatory changes, etc.).

Disclaimer

The Website and Services are provided “as is” without warranties of any kind.

Nolan Digital is not responsible for:

  • Loss of profits, data, or opportunities

  • Errors in third-party tools, APIs, fonts, plugins

  • External service outages (e.g., hosting, DNS, email services)

  • Client misuse of deliverables

Limitation of Liability & Indemnification

Nolan Digital’s liability is limited to the amount paid by the Client for the relevant period or project.

The Client agrees to indemnify Nolan Digital against claims arising from:

  • Misuse of the deliverables

  • Illegal or infringing content provided by the Client

  • Breach of this Agreement

User Data

Client is solely responsible for data provided. Nolan Digital is not liable for lost or corrupted data.

Electronic Communications & Signatures

By using the Website, the Client consents to electronic communication, contracts, invoices, and signatures, which hold the same legal validity as written documents.

Showcasing Design Work

Nolan Digital reserves the right to showcase completed work for portfolio and marketing purposes unless an NDA is signed.

Governing Law

This Agreement is governed by Hong Kong SAR law.
